Terms of Service

End-to-end product development services for external clients and partners, including:

• Ideation and market validation
• MVP scoping and product development
• AI-assisted build and launch support
• Short-form video and content production (via Vislice)
• Technical consulting and product strategy

VI builds and operates its own technology ventures, including Alpha Drafts, FinCompass, Vislice, and other products in development. Each product may have its own supplementary terms that apply in addition to these Terms.

VI may provide product strategy, innovation consulting, or advisory services to select clients on a scoped engagement basis.

When you engage Visionary Insights for a scoped service or project, the specific deliverables, timelines, payment terms, and responsibilities will be set out in a separate Statement of Work (SOW), proposal, or service agreement. Those documents form part of your agreement with us and should be read alongside these Terms.

You agree to provide accurate, complete, and timely information required for us to deliver the agreed services. Delays or failures caused by incomplete or inaccurate information provided by you are not the responsibility of Visionary Insights.

Any changes to the agreed scope of work must be agreed upon in writing between both parties. Work outside the agreed scope may be subject to additional fees and timeline adjustments.

Fees for our services are set out in your engagement agreement, proposal, or the relevant product pricing page. All fees are quoted in US Dollars unless otherwise agreed.

Unless otherwise agreed in writing, payment terms are as specified in your engagement agreement. We reserve the right to pause or suspend services if payment obligations are not met on time.

Refund eligibility depends on the nature of the service and the stage of delivery. Refund terms for specific products or services are set out in the applicable product terms or engagement agreement. Where no specific refund policy applies, refunds are at the discretion of Visionary Insights.

Payments may be processed through third-party processors including Stripe. By making a payment, you agree to the applicable terms of those processors. We do not store your full payment card details.

All content, branding, design, code, documentation, and materials owned or created by Visionary Insights — including our website, products, and service deliverables — are the intellectual property of Visionary Insights and protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Any materials, data, or intellectual property you provide to us for the purposes of delivering services remain your property. You grant us a limited license to use those materials solely for the purpose of performing the agreed services.

Ownership of project deliverables — such as product designs, code, or content produced for you — will be set out in your engagement agreement. Unless explicitly agreed otherwise, full ownership of client-commissioned deliverables transfers to you upon receipt of final payment for that project.

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by applicable law, Visionary Insights and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total amount you paid to us in the 90 days preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Visionary Insights and its officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of Services.

We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, notify you. Your continued use of our Services after any changes constitutes your acceptance of the updated Terms.

These Terms, together with any applicable engagement agreement, Statement of Work, or product-specific terms, constitute the entire agreement between you and Visionary Insights with respect to the subject matter hereof.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
